1. Who we are and when these terms apply
Web Space Works provides WordPress maintenance, website design and redesign, performance optimization, SEO and AI search optimization, and related website support remotely. “We,” “us,” and “our” refer to KF Peyper, trading as Web Space Works USA. “You” means the client identified in that agreement, acting through an authorized representative.
These terms govern paid services only when they are supplied to you and incorporated into the proposal or service order you accept. Merely browsing our website does not enroll you in a paid service. A written, expressly agreed project-specific provision takes priority over a conflicting provision here. These terms do not retrospectively change an existing client agreement.
Our contact details are [email protected] and +1 (561) 888-9033. We operate remotely; location pages do not represent local offices.
2. Scope and approval
Before work starts, we confirm the services, deliverables, fees, responsibilities, and any agreed schedule in writing. A service listing is an overview, not a promise that every task is included. Additional features, pages, integrations, revisions, or remedial work require a separately approved scope and price.
We may decline work that is unlawful, outside our capabilities, or incompatible with the agreed service. Neither an inquiry nor an estimate obliges either party to proceed before acceptance.
3. Payment in advance
Our services are delivered digitally and are payable in advance. Cleared payment for the relevant service period, project stage, or approved block of work must be received before that work begins, unless we expressly agree otherwise in writing.
Monthly maintenance is payable before the start of each monthly service period. One-time work is payable in full before commencement unless the accepted proposal provides a staged payment schedule. For a design or development project with staged payments, the proposal specifies the initial payment, milestones, and balance due. Any balance stated as due before launch or handover must clear before that launch or handover.
Additional content-update work beyond the monthly allowance is quoted or estimated at the agreed hourly rate and authorized before it is undertaken. We agree the advance amount for the approved work and reconcile any unused amount or approved additional time transparently.
Prices are in U.S. dollars unless stated otherwise. Any applicable taxes or separately chargeable costs are identified before acceptance. You are responsible for fees charged by your own bank or payment service. We do not charge a stored payment method without the required authorization.
4. WordPress maintenance plan
The advertised maintenance plan is $200 per month for one reviewed WordPress website. It covers the updates, backups, monitoring, and other maintenance tasks identified in the accepted scope, plus up to 3 hours of content updates per monthly service period. Additional content-update time is $50 per hour, subject to prior approval.
Content updates mean changes to existing content, such as supplied text, images, business details, or comparable edits within the existing website structure. New functionality, substantial new layouts, redesigns, custom development, major repairs, malware cleanup, migration, hosting, paid licenses, and ongoing SEO campaigns are excluded unless expressly included in writing. A website may require separately scoped remedial work before joining maintenance.
The monthly fee pays for the ongoing care service and its included allowance; it is not a purchase of three standalone development hours. Unused content-update hours expire at the end of the service period and do not roll over or convert to cash unless your accepted agreement says otherwise. Requested work is scheduled within the agreed scope and available service time; it does not imply unlimited revisions, immediate turnaround, or round-the-clock support.
5. Renewals, cancellation, and price changes
Unless your accepted order specifies a fixed term, maintenance runs month to month. The billing date and service period are stated before enrollment. Automatic billing applies only where you separately authorize it after the recurring amount, frequency, and cancellation method are disclosed. Otherwise, renewal is handled by an advance invoice.
You may cancel the next renewal by emailing [email protected] before the next service period begins. No minimum notice measured in days is required under this default arrangement. We acknowledge cancellation in writing; acknowledgement is not a condition for a timely cancellation to take effect. We do not charge for a later period you have validly canceled. Where online subscription enrollment is offered, an appropriate straightforward online cancellation route must also be supplied.
Unless you request an earlier stop, service continues through the paid period. After it ends, ongoing updates, monitoring, backup activity, and other recurring tasks stop. You should arrange replacement care and obtain any needed handover before that date. Cancellation does not transfer ownership of your domain or hosting to us and does not authorize us to disable your website.
We give at least 30 days’ written notice of a proposed recurring fee or material service change. It applies only to a future renewal, subject to any legally required consent. You may cancel before it applies. Fixed-price work already accepted is not repriced without agreement.
6. Refunds and canceled projects
Advance payment does not remove rights or remedies that apply under law. We do not use a blanket “digital services are non-refundable” rule.
For a monthly period that has started, fees are ordinarily not prorated merely because you use fewer content hours or cancel the next renewal. If we fail to supply agreed services, you may request an appropriate correction or refund, subject to applicable law and the circumstances.
If a one-time project is canceled, we provide an account of completed work and authorized, nonrecoverable third-party costs. We refund the remaining unearned advance, if any. An initial project payment is not automatically forfeited simply because it is called a deposit. Work and approved costs exceeding payments remain payable only to the extent permitted by the accepted agreement and applicable law.
If we end a prepaid service for our convenience, we refund the unused portion attributable to services we will not provide. Any lawful immediate termination for serious misuse or breach is assessed against actual work, commitments, and applicable rights; it does not create an automatic right to keep every advance.
7. Late payment and suspension
If an advance payment is not received, we may postpone the affected work or renewal. We give reasonable notice before suspending an existing paid engagement for nonpayment, except where an immediate pause is necessary for security or unlawful activity. Restart timing depends on access, the website’s condition, and available capacity. No late fee or interest applies unless expressly agreed and lawful.
We do not delete client content, transfer client-owned domains, or deliberately damage a website to collect a debt. Ordinary third-party hosting or license consequences remain subject to those providers’ terms.
8. Your responsibilities and access
You must provide accurate instructions, timely approvals, authorized content, and the access reasonably needed for the work. You warrant that you have authority to commission changes and use the supplied materials. You remain responsible for your business claims, pricing, legal notices, regulated content, and approval of published information.
Do not send passwords, payment-card details, or sensitive personal information in an initial inquiry. We agree a suitable access method. Give only the access needed and revoke temporary access when the work ends. Tell us in advance about regulated data, special security obligations, or data-location restrictions; ordinary website maintenance is not an agreement to process regulated records under a specialist compliance regime.
Delays in access, content, decisions, or third-party cooperation may change the delivery schedule. We discuss revised timing rather than treating silence as approval.
9. Delivery, review, and third parties
Schedules depend on the accepted scope and required client and third-party inputs. You have a reasonable opportunity to review deliverables and identify specific departures from the agreed scope. The proposal should define review stages, included revisions, and any acceptance process. Corrections to an agreed deliverable are distinguished from new requests.
Hosting providers, software vendors, search platforms, payment services, and integrations operate independently. Their charges and licenses are identified where relevant and are not included by default. We are responsible for our own agreed work but cannot promise another provider’s uninterrupted availability or future behavior.
Backups reduce risk but do not guarantee recovery from every failure. Backup frequency, storage, retention, restore testing, and recovery work must be defined in the agreed maintenance scope.
10. Performance, search, and business outcomes
We use measured evidence to assess agreed improvements. PageSpeed and similar laboratory scores vary with test conditions; real-user Core Web Vitals reflect actual visits over time. We do not promise a fixed score, a field-data pass by a particular date, uninterrupted availability, a search ranking, an AI citation, traffic, revenue, or a particular business outcome unless a specific, lawful commitment is expressly agreed.
SEO and AI search work improves agreed technical and content foundations. Search engines and AI platforms determine their own crawling, indexing, ranking, and responses. You remain responsible for approving factual business content.
11. Ownership and licenses
You retain ownership of your pre-existing content, trademarks, domain names, and accounts. Once the agreed fees for a completed deliverable are paid, we transfer to you the rights we own in the bespoke deliverable created specifically for you, as identified in the proposal. Third-party materials, open-source software, reusable tools, pre-existing code, and their applicable license terms are excluded from that transfer. Where our retained materials are embedded in a paid deliverable, you receive the rights needed to use that deliverable for its agreed purpose, subject to applicable licenses.
We do not publish your nonpublic information or represent work as a public case study without permission. Portfolio use and any required attribution should be expressly agreed.
12. Confidentiality and personal information
Each party will protect confidential information received for the engagement and use it only for the work, authorized administration, or a lawful obligation. Access may be given to personnel and service providers who need it and are subject to appropriate obligations. Information that is public, independently developed, or lawfully obtained elsewhere is not confidential merely because it also appears in project materials.
Our Privacy Policy describes our own website and business information handling. If client work requires us to process personal information on your instructions, we agree the necessary data-processing terms before that access. The public Privacy Policy is not a substitute for that agreement.
13. Responsibility, disputes, and applicable rights
Each party is responsible for its own breach of the accepted agreement and obligations imposed by law. Neither party guarantees matters outside its reasonable control. Mandatory legal rights are not excluded by these terms. Any proposed financial liability cap, exclusion, indemnity, governing-law clause, or court venue must be expressly included in the accepted agreement and remain subject to applicable law; no unreviewed default state or blanket waiver is imposed here.
If a dispute arises, contact [email protected] with the relevant agreement and issue so we can try to resolve it promptly. This process does not prevent urgent relief, a statutory complaint, or the exercise of rights that cannot lawfully be restricted. There is no mandatory arbitration or class-action waiver in these terms.
14. Website use and changes to these terms
Use the website lawfully. Do not attempt unauthorized access, introduce harmful code, interfere with operation, or misuse contact routes. Our original website content and branding remain ours or their respective owners’. Third-party links are provided for convenience and do not imply endorsement.
We may update these terms for future engagements. Posting a revision does not retrospectively change an existing contract. Material changes to an ongoing engagement require notice and any necessary acceptance under that agreement and applicable law.
